Introduction
1.1 These Terms and Conditions (“Agreement”) apply to any organisation (“the Organisation”) trialing products supplied by Macrosphere Pty Ltd (“Macrosphere”).
1.2 By accepting a trial product from Macrosphere, the Organisation agrees to these Terms and Conditions. -
Trial Period
2.1 The Organisation is granted a maximum trial period of three (3) weeks from the date of delivery of the product(s).
2.2 During this period, the Organisation may use the product(s) for evaluation purposes only and must take all reasonable care to prevent damage, loss, or misuse.
2.3 The Organisation acknowledges that the trial is obligation-free for the first three (3) weeks. -
End of Trial Period
3.1 If the Organisation does not wish to purchase the product(s), arrangements must be made for the return of the product(s) by the end of the third week.
3.2 If the product(s) are not returned by the end of the fourth week, Macrosphere reserves the right to issue an invoice for the full purchase price of the product(s), payable within seven (7) days. -
Liability for Loss or Damage
4.1 The Organisation accepts full responsibility for any loss, theft, damage, or destruction of the product(s) during the trial period, including but not limited to incidents caused by fire, flood, storm, or other acts of God.
4.2 If the product(s) are lost, stolen, or damaged beyond repair, the Organisation agrees to pay the full replacement cost, which will be determined by Macrosphere based on the current market value. -
Return of Product(s)
5.1 The Organisation must return the product(s) in the same condition as received, excluding reasonable wear and tear.
5.2 The Organisation is responsible for all costs associated with returning the product(s), including but not limited to shipping, handling, and insurance.
5.3 If the Organisation fails to return the product(s) within the agreed timeframe, Macrosphere reserves the right to recover the product(s) or seek payment for the full purchase price. -
Non-Return and Debt Recovery
6.1 If the Organisation fails to return the product(s) or pay the invoiced amount within the specified timeframe, Macrosphere reserves the right to take legal action to recover the product(s) or outstanding payment.
6.2 The Organisation agrees that any fees incurred in recovering the product(s) or outstanding payment, including but not limited to debt collection fees, legal costs, court filing fees, and enforcement agency costs, shall be payable by the Organisation.
6.3 The Organisation acknowledges that failure to return or pay for the product(s) may impact their credit rating if recovery action is taken. -
Ownership of Products
7.1 All trial products remain the property of Macrosphere until full payment has been received for their purchase.
7.2 The Organisation must not sell, lease, transfer, or encumber the product(s) in any way during the trial period. -
Use of Product(s)
8.1 The Organisation agrees to use the product(s) only for their intended purpose and in accordance with any manufacturer guidelines.
8.2 The Organisation must not modify, tamper with, or attempt to repair the product(s) without written consent from Macrosphere. -
Warranty and Technical Support
9.1 Macrosphere provides technical support for the duration of the trial period.
9.2 Macrosphere makes no express or implied warranties regarding the suitability of the product(s) for any specific use or purpose during the trial period. -
General Provisions
10.1 These Terms and Conditions are governed by the laws of Queensland, Australia, and the Organisation agrees to submit to the jurisdiction of the courts in Queensland.
10.2 If any provision of these Terms and Conditions is found to be unenforceable, the remaining provisions shall remain in full force and effect.
10.3 Macrosphere reserves the right to amend or update these Terms and Conditions at any time, and any changes will be communicated in writing to the Organisation. -
Acknowledgement and Acceptance
By accepting a trial product from Macrosphere, the Organisation confirms that they have read, understood, and agreed to these Terms and Conditions.
